Lovegevity.com, Inc. - Terms & Conditions

1. PARTIES
(1) THE COMPANY Lovegevity.com, Inc, 3017 Douglas Blvd. 3rd Floor, Roseville, CA 95661.
(2) THE MEMBER the person, firm, company or business whose name appears on the Member Information or Booking Form or their duly authorized Agent.

(3) THE CLIENT the registered bride, groom or couple inquiring for wedding planning services research and booking assistance.

WHEREAS the Company is in the business of wedding/event planning, assistance and coordination for day of services and general assistance and research to prospective clients and representatives of associated members (venders) ie. Catering and other facilities (more particularly specified in the companies directory) AND WHEREAS the Client wishes to hire one or more of the represented members (vendors) and use the said Facilities and/or services.

NOW this Agreement sets out the Terms and Conditions upon which the Members shall be hired and the Facilities and/or services provided.

2. COMPANY OBLIGATIONS

(i) To provide assistance to Client in Vendor research and selection.

(ii) To promote and market vendor services to applicable request from registered Clients.

(iii) To exercise reasonable care in the selection and supervision of all and any sub-contractors required to enable the Company to fulfill its obligations under this Agreement.

2. MEMBER OBLIGATIONS

(i) To provide quality service to registered Lovegevity Clients who book with Member services.

(ii) To uphold our code of ethics when representing services and membership with said Company.

(iii) To communicate no less than monthly with local Company Representatives on client communications, meetings and bookings.

(iv) To insure and keep insured the Client and the Client's party against injury and loss of life arising from any negligent act or omission on the part of the Company and its servants or agents.

(v) To exercise reasonable care in the selection and supervision of all and any sub-contractors required to enable the Vendor to fulfill its obligations under this Agreement.

(vi) Provide Company with detailed Contract Agreements with Booked Registered Clients.

(vii) Provide Company with all contracts, notes, and information on booking cancellations.

3. CLIENTS' OBLIGATIONS
(i) To pay the Deposit, Security Deposit and the balance of Total Fee for the hire of the Member before the date set out in the Booking Form.

(ii) Promptly to notify the Company of all bookings with Vendor Members.

(ii) To ensure that all members of the Client's party are issued with a copy of these Terms and Conditions and are requested to read them.

(v) To indemnify and hold harmless the Company against all and any claims, loss, damage or costs arising from any action(s) of the Member, Member Representatives, Client, or the Client's party.

4. PAYMENT

(i) The Client shall pay the Deposit shown on the Booking Form when returning the signed and completed Booking Form.

(ii) The Client shall pay the balance due including the Security Deposit shown on the Booking Contract/Form according to each Member contract agreements.

(iii) Where the Booking Form is signed less than four weeks prior to the Hire Date the Client shall pay the Total Fee and Security Deposit when returning the completed Booking Form.

(iv) If the Client fails to make payment under clause (i), (ii), or (iii) above the Company may treat the booking as cancelled and endeavor to find alternative Client(s) for the Hire Date. Without prejudice to any other rights or remedy of the Company in these circumstances the Client shall forfeit the deposit.

5. CANCELLATION BY THE CLIENT

If the Client wishes to cancel this Agreement it must be done by notice in writing and will be effective from the date on which the Company receives it. If notice in writing is received four weeks or more before the Hire Date the Company will return the deposit to the Client unless specific vendor contracts detail otherwise. If notice of cancellation is received within four weeks of the Hire Date the Company shall be entitled to retain the Deposit set out on the Booking Contract/Form. The Company retains the discretion to review each cancellation and Member policies on a case-by-case basis.

6. LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with The State of North Carolina.

7. COMPANY CONDITIONS

The Company reserves the right at any time to terminate a Member based on feedback from said Company quality assurance and feedback from Client experience and Company Representatives. Member fees and outstanding balances are immediately due upon termination due to breech in Membership Agreement.

Company from time to time will exercise it's right to perform random audits of bookings, referrals and performance. If any Member is found to be withholding booking information and/or revenues due the Company, Member will be immediately liable for all revenue discovered in said audit plus 15% interest for withholding revenue due to Company. Member also risks being terminated from Company partnership which is to be determined on a case-by-case basis.
